Consider approval of amendments to the Woodlands Articles of Incorporation and Bylaws.
The Woodlands Homeowners Association is requesting that the Town Council approve amendments to both the Bylaws and the Articles of Incorporation for the Woodlands Subdivision. The reason the applicant is before the Council is because of the wording of these respective documents, which currently requires that amendments be approved by the "Town of Falmouth" prior to becoming effective. The proposed amendments, if approved, would allow the Association to make changes to each of these documents in the future without having to come back to the Town for approval unless the amendments are related to a land use issue.
The primary purpose of these proposed amendments is to lower the minimum attendance thresholds necessary for the Association to establish quorums and take voting action. This change is being proposed because the existing thresholds are difficult for the Association to obtain.
Please find the proposed amendments, as well as the existing relevant language of the Bylaws and Articles of Incorporation, attached. (Please also note that the Planning Board, at its April 2008 meeting, approved the requested amendments to the Woodlands Declaration of Covenants as referenced in Attorney Matzen's cover letter, which is also attached.)
